Acceptance of Terms
Agreement to Terms
By accessing or using digiMall's platform, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services.
Modifications
We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting. Your continued use of the platform constitutes acceptance of the modified terms.
Eligibility
You must be at least 18 years old and legally capable of entering into contracts to use digiMall. By using our platform, you represent that you meet these requirements.
User Accounts
Account Creation
You must create an account to access most features of digiMall. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
Account Information
You agree to provide accurate, current, and complete information when creating your account and to update this information as necessary to maintain its accuracy.
Account Security
You are responsible for safeguarding your password and must notify us immediately of any unauthorized use of your account or any security breach.
Account Suspension
We reserve the right to suspend or terminate your account if you violate these terms, engage in fraudulent activity, or for any other reason we deem necessary to protect our platform and users.
Buying and Selling
Marketplace Nature
digiMall is a marketplace platform that connects buyers and sellers. We are not a party to the actual transactions between users, but we provide tools and services to facilitate these transactions.
Product Listings
Sellers are responsible for the accuracy of their product listings, including descriptions, images, prices, and availability. All listings must comply with our content policies and applicable laws.
Purchase Process
When you make a purchase, you enter into a contract directly with the seller. digiMall facilitates the transaction through our platform but is not responsible for the seller's performance.
Seller Obligations
Sellers must fulfill orders promptly, provide accurate product information, maintain adequate inventory, and comply with all applicable laws and regulations.
Bargaining Rules
Negotiation Process
Our bargaining feature allows real-time price negotiation between buyers and sellers. All negotiations must be conducted respectfully and in good faith.
Binding Agreements
Once a buyer and seller agree on terms through our bargaining system, it creates a binding agreement. Both parties are expected to honor the agreed terms.
Communication Standards
All communication during bargaining must be professional and respectful. Harassment, threats, or inappropriate behavior will result in account suspension.
Price Manipulation
Sellers may not engage in deceptive pricing practices, including artificially inflating prices to make discounts appear larger than they actually are.
Payment Terms
Escrow System
All payments are processed through our secure escrow system. Funds are held until the buyer confirms receipt of the product or the dispute resolution period expires.
Payment Methods
We accept various payment methods including bank transfers, cards, and mobile payments. All transactions are processed securely through our licensed payment partners.
Fees and Charges
digiMall charges sellers a commission on successful sales. Buyers do not pay platform fees, but may be subject to payment processing fees charged by payment providers.
Refunds and Returns
Refund eligibility depends on the seller's return policy and the nature of the product. Disputed transactions are handled through our dispute resolution process.
Shipping and Delivery
Delivery Responsibility
Sellers are responsible for packaging and shipping products according to our guidelines and the buyer's delivery preferences.
Shipping Costs
Shipping costs are determined by the seller and clearly displayed before purchase. Some sellers may offer free shipping on qualifying orders.
Delivery Timeframes
Estimated delivery times are provided by sellers and logistics partners. While we strive for accuracy, delivery times are estimates and may vary due to factors beyond our control.
Delivery Issues
If you experience delivery problems, contact the seller first. If the issue cannot be resolved, you may open a dispute through our resolution center.
Prohibited Activities
Fraudulent Behavior
Any form of fraudulent activity, including fake listings, payment fraud, or identity theft, is strictly prohibited and will result in immediate account termination.
Prohibited Items
Certain items are prohibited on our platform, including illegal goods, counterfeit products, weapons, hazardous materials, and items that violate intellectual property rights.
Platform Abuse
Users may not attempt to circumvent our fees, manipulate search results, create fake accounts, or engage in any activity that harms the platform or other users.
Spam and Harassment
Sending unsolicited messages, harassing other users, or posting spam content is prohibited. This includes inappropriate bargaining tactics or abusive communication.
Data Protection and Privacy
Data Collection
We collect personal information necessary to provide our services, including account information, transaction history, and communication data. All data collection complies with Nigerian Data Protection Regulation (NDPR).
Data Usage
Your data is used to facilitate transactions, improve our services, prevent fraud, and comply with legal requirements. We do not sell personal information to third parties.
Data Security
We implement industry-standard security measures to protect your data, including encryption, secure servers, and regular security audits. However, no system is 100% secure.
Data Rights
You have the right to access, correct, delete, or port your personal data. Contact our privacy team to exercise these rights or for any data-related concerns.
Force Majeure
Unforeseeable Events
Neither digiMall nor its users shall be liable for delays or failures in performance resulting from acts beyond reasonable control, including natural disasters, war, terrorism, or government actions.
Service Interruptions
In case of force majeure events, we will make reasonable efforts to restore services promptly and notify users of expected resolution timeframes.
Transaction Protection
During force majeure events, funds in escrow remain protected. We will work with all parties to resolve pending transactions fairly once normal operations resume.
Amendments and Updates
Notice of Changes
We will provide at least 30 days notice before any material changes to these terms take effect. Notice will be given through email, platform notifications, or prominent website display.
Acceptance of Changes
Continued use of digiMallafter changes become effective constitutes acceptance of the modified terms. If you disagree with changes, you may terminate your account.
Version Control
We maintain version control of our terms with clear effective dates. Previous versions remain available for reference in our legal archive.
Dispute Resolution
If a dispute arises between buyer and seller, digiMallprovides a structured resolution process. We encourage direct communication first, followed by mediation through our customer service team if necessary.
For unresolved disputes, binding arbitration may be required under Nigerian law. Both parties agree to participate in good faith in any dispute resolution process.
Intellectual Property
digiMallrespects intellectual property rights. Users may not list or sell counterfeit goods or items that infringe on others\' intellectual property rights.
The digiMallplatform, including its design, functionality, and content, is protected by copyright, trademark, and other intellectual property laws. Users may not copy, modify, or distribute our platform without permission.
Limitation of Liability
digiMallacts as an intermediary marketplace. We are not responsible for the quality, safety, legality, or accuracy of products listed by sellers. Users engage in transactions at their own risk.
Our liability is limited to the maximum extent permitted by Nigerian law. We shall not be liable for indirect, incidental, special, or consequential damages arising from your use of our platform.
Termination
You may terminate your account at any time by contacting our support team. We may terminate or suspend your account immediately for violation of these terms or for any conduct we deem harmful to our platform or users.
Upon termination, your right to use digiMallceases immediately. Provisions regarding intellectual property, limitation of liability, and dispute resolution survive termination.
Governing Law
These Terms of Service are governed by the laws of the Federal Republic of Nigeria. Any disputes arising under these terms shall be subject to the jurisdiction of Nigerian courts.
We comply with the Nigerian Consumer Protection Act, E-Commerce Law, and all applicable regulations governing electronic transactions and data protection.
Warranty Disclaimer
digiMallprovides the platform "as is" without warranties of any kind, either express or implied. We do not guarantee uninterrupted service, error-free operation, or that the platform meets your specific requirements.
We disclaim all warranties regarding product quality, merchantability, fitness for a particular purpose, and non-infringement. Sellers are responsible for product warranties and customer satisfaction.
User Conduct
Users must conduct themselves professionally and respectfully. This includes honest product descriptions, fair pricing, respectful communication, and adherence to agreed terms.
Prohibited conduct includes but is not limited to: creating fake accounts, manipulating reviews, engaging in price fixing, harassing other users, or attempting to circumvent platform fees.
